1. ACCEPTANCE OF TERMS

By accessing or using Autonomyx (“Service”), you (“User”) agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

3. ELIGIBILITY

6. AI-POWERED FEATURES — IMPORTANT NOTICES

6.1 Nature of AI outputs. Autonomyx uses artificial intelligence and machine learning models, including third-party AI providers. AI-generated outputs are probabilistic and may be incomplete, inaccurate, or not suitable for your specific use case.

6.2 No reliance for high-stakes decisions. AI outputs from the Service must not be solely relied upon for legal, medical, financial, HR, or other high-stakes decisions without independent verification by a qualified professional.

6.5 EU AI Act compliance. We endeavour to comply with applicable obligations under the EU Artificial Intelligence Act where our AI features are deployed to EU users.


7. PAYMENTS AND SUBSCRIPTIONS

7.1 Paid plans. Certain features of the Service are available only on a paid subscription basis. Pricing is listed on our website and is subject to change with advance notice.

7.2 Payment processing. Payments are processed by third-party payment providers (such as Stripe or Razorpay). By making a payment, you agree to their applicable terms and privacy policies. We do not store your full card details.

8.2 Licence to us. By submitting User Content, you grant OpenAutonomyx (OPC) Private Limited a worldwide, non-exclusive, royalty-free, sublicensable licence to use, store, display, reproduce, and distribute your User Content solely to the extent necessary to provide and improve the Service.

8.3 Your responsibility. You are solely responsible for your User Content. You represent and warrant that your User Content does not infringe any third-party rights, violate any applicable law, or breach these Terms.

8.4 Prohibited content. You must not submit content that:

  • Infringes any intellectual property rights
  • Contains malware, viruses, or malicious code

14.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

14.3 AI-GENERATED OUTPUTS ARE NOT PROFESSIONAL ADVICE. WE EXPRESSLY DISCLAIM ANY LIABILITY FOR DECISIONS MADE IN RELIANCE ON AI OUTPUTS WITHOUT INDEPENDENT VERIFICATION.


15. LIMITATION OF LIABILITY

15.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPENAUTONOMYX (OPC) PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

15.2 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

15.3 SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.


16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless OpenAutonomyx (OPC) Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

17. TERM AND TERMINATION

17.1 These Terms remain in effect for as long as you use the Service.

17.2 You may stop using the Service and close your account at any time.

20.1 Entire agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.

20.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

20.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.

20.5 Force majeure. We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

20.6 Language. These Terms are written in English. In the event of any inconsistency between an English version and a translated version, the English version shall prevail.
